These Terms and Conditions (“Terms”) govern the use of our website rosewoodtradesmen.com (the “Site”) and the services provided by Rosewood Tradesmen Ltd (“we”, “our”, “us”). By using our Site or engaging our services, you agree to be bound by these Terms.

Rosewood Tradesmen Ltd is a recruitment and payroll services provider, specialising in supplying trades and labour to the construction industry and providing CIS payroll services to contractors.

- Our Services
We operate in two primary capacities:
Recruitment & Labour Supply: Acting as an employment business, we supply workers to clients on a temporary or contract basis.
Payroll / CIS: Acting as a CIS payroll provider, we process payments to self-employed contractors in accordance with HMRC Construction Industry Scheme regulations.
Payments to workers may be processed through our designated payroll intermediary, Rosewood Payroll, which acts solely as a payment processing intermediary on our behalf.
We are not the employer of workers engaged on a CIS basis.
Rosewood Payroll does not assume any employment, contractual, or supervisory obligations in relation to workers or clients.
- Terms for Clients (Construction Companies)
Responsibilities
Clients are responsible for ensuring compliance with all health & safety laws, site rules, and legal obligations.
Clients must provide safe working conditions, appropriate PPE, and necessary site inductions.
Clients remain responsible for supervising and directing the work of supplied workers.
Suitability of Workers
We take reasonable steps to verify workers’ identity, right to work, and qualifications.
We do not guarantee the performance, conduct, or suitability of workers supplied.
Payment & Fees
Clients agree to pay fees as per our agreed terms of business.
All payments due to us must be made in full and without set-off unless otherwise agreed in writing.
Any disputes relating to timesheets or invoices must be raised within 7 days of receipt.
Liability
We are not liable for losses, damages, or claims arising from the actions, omissions, or misconduct of workers supplied.
Our liability to clients is limited to the amount of fees paid for the services giving rise to the claim.
- Terms for Workers (Tradespeople & Contractors)
CIS Status
Workers engaged through us on a CIS basis remain self-employed.
We process CIS deductions in accordance with HMRC rules and provide payment statements.
We are not responsible for workers’ tax, National Insurance, or other personal liabilities beyond required CIS deductions.
Payment
Payments are processed weekly (unless otherwise agreed) upon receipt of approved timesheets from the client.
Payments may be made via Rosewood Payroll, acting solely as a payment processing intermediary on our behalf.
Workers acknowledge and agree that:
- Rosewood Payroll acts only as an intermediary for payment processing.
- No employment relationship is created between the worker and Rosewood Payroll.
- Payment to the worker remains conditional upon receipt of cleared funds from the client.
We are not liable for delays caused by late timesheet submission, client approval, or delayed client payment.
Administration Charge
We reserve the right to apply an administration charge of up to a maximum of £18 per payment processed.
This charge will be applied in accordance with our published scale of rates, which is available upon request.
Workers expressly authorise the deduction of any applicable administration charge from payments due to them.
We reserve the right to amend our published scale of rates from time to time.
Worker Obligations
Workers must provide accurate and up-to-date right-to-work documentation, qualifications, and insurance (where applicable).
Workers must perform their duties in a professional manner and comply with all health & safety requirements.
False or misleading information provided to us may result in termination of engagement.
- Website Use
Accounts
You are responsible for maintaining the confidentiality of your account and login details.
All information provided must be truthful and kept up to date.
We reserve the right to suspend or terminate accounts that are misused.
Prohibited Use
You must not use our Site to:
- Upload false CVs, profiles, or qualifications.
- Misrepresent your identity or employment status.
- Engage in unlawful, fraudulent, or harmful activity.
Intellectual Property
All content on the Site, including text, images, logos, and documents, is the property of Rosewood Tradesmen Ltd.
You may not copy, distribute, or reproduce any material without prior written consent.
- Data Protection & Privacy
We process personal data in accordance with the UK GDPR and Data Protection Act 2018. Please refer to our Privacy Policy for details on how we collect, use, and store your information.
- Limitation of Liability
To the maximum extent permitted by law, Rosewood Tradesmen Ltd and its directors, officers, employees, and agents shall not be liable for indirect, incidental, or consequential damages.
Our total liability for any claim arising from our services is limited to the amount of fees paid for those services.
- Indemnity
By using our services, you agree to indemnify and hold harmless Rosewood Tradesmen Ltd from any claims, losses, or damages arising from your breach of these Terms.
- Changes to Terms
We may update these Terms from time to time to reflect legal or operational changes. Updates will be posted on this Site and, where appropriate, notified by email. Continued use of our services constitutes acceptance of the updated Terms.
- Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
