These Terms and Conditions (“Terms”) govern the use of the website rosewoodtradesmen.com (the “Site”) and the services provided by **Rosewood Tradesmen Ltd (“we”, “us”, “our”).

2. Definitions
For the purposes of these Terms:
Client
Any company or organisation that engages workers through Rosewood Tradesmen Ltd.
Worker
Any tradesperson, labourer, contractor, or individual registered with us for the purpose of being introduced to clients.
CIS
The Construction Industry Scheme administered by HM Revenue & Customs.
Services
The recruitment, labour supply, and payroll processing services provided by Rosewood Tradesmen Ltd.
3. Our Services
Rosewood Tradesmen Ltd operates in two principal capacities.
Recruitment & Labour Supply
We act as an employment business supplying temporary workers and contractors to clients within the construction industry.
CIS Payroll Administration
We facilitate the processing of payments to self-employed contractors under the Construction Industry Scheme.
Payments may be processed through our designated payroll intermediary Rosewood Payroll, which acts solely as a payment processing intermediary on our behalf.
Rosewood Payroll does not assume any employment or supervisory responsibilities in relation to workers or clients.
Workers engaged under CIS remain self-employed and responsible for their own tax affairs except for deductions required under CIS regulations.
4. Terms for Clients
4.1 Client Responsibilities
Clients are responsible for:
Providing safe working conditions in accordance with applicable health and safety legislation.
Ensuring workers receive appropriate site inductions and personal protective equipment (PPE).
Supervising and directing the day-to-day work of supplied workers.
4.2 Suitability of Workers
We take reasonable steps to verify:
Identity
Right to work in the UK
Relevant qualifications and experience
However, we do not guarantee the performance, conduct or suitability of any worker supplied.
Clients remain responsible for assessing workers’ suitability for their particular site or project.
4.3 Payment Terms
Clients agree to pay all invoices in accordance with the agreed terms of business.
Invoices must be paid in full without deduction or set-off unless otherwise agreed in writing.
Any dispute regarding invoices or timesheets must be raised within 7 days of receipt.
Failure to raise disputes within this period may result in the invoice being deemed accepted.
5. Terms for Workers
5.1 Self-Employment Status
Workers engaged through us under CIS are engaged on a self-employed basis.
Nothing in these Terms shall create:
an employment relationship
a partnership
or a joint venture
between the worker and Rosewood Tradesmen Ltd or Rosewood Payroll.
Workers remain responsible for their own:
income tax
National Insurance
insurance obligations
statutory filings
except for deductions made under CIS rules.
5.2 Payments
Payments are normally processed weekly upon:
receipt of approved timesheets from the client
confirmation of hours worked
receipt of cleared funds from the client.
Payments may be made through Rosewood Payroll acting solely as a payment processing intermediary.
Rosewood Tradesmen Ltd shall not be liable for payment delays caused by:
late submission of timesheets
delays in client approval
delayed client payments.
5.3 Administration Charge
We reserve the right to apply an administration charge of up to £18 per processed payment.
Workers authorise the deduction of any applicable administration charge from payments due.
Our scale of charges may be amended from time to time and will be available upon request.
5.4 Worker Obligations
Workers agree to:
provide accurate documentation relating to identity, right to work and qualifications
comply with all health and safety regulations
perform work to a professional standard.
Providing false or misleading information may result in suspension or termination of engagement.
6. Website Use
Accounts
Users are responsible for maintaining the confidentiality of login credentials and account information.
We reserve the right to suspend or terminate accounts that are misused.
Prohibited Activities
Users must not use the Site to:
upload false qualifications or CVs
misrepresent identity or employment status
engage in unlawful or fraudulent activity.
7. Intellectual Property
All content on the Site including text, graphics, logos, and documentation is the property of Rosewood Tradesmen Ltd.
No material may be copied, reproduced, or distributed without prior written permission.
8. Data Protection
Personal data is processed in accordance with the **UK General Data Protection Regulation and the **Data Protection Act 2018.

9. Confidentiality
All parties agree to keep confidential any commercially sensitive information obtained through the use of our services unless disclosure is required by law.
10. Limitation of Liability
To the fullest extent permitted by law, Rosewood Tradesmen Ltd shall not be liable for:
indirect or consequential losses
loss of profit
business interruption
losses arising from the actions or omissions of supplied workers.
Our total liability for any claim shall not exceed the fees paid for the services giving rise to the claim.
11. Indemnity
Users of our services agree to indemnify and hold harmless Rosewood Tradesmen Ltd from any claims, losses, or liabilities arising from:
breach of these Terms
misuse of the Site
violation of applicable laws or regulations.
12. Force Majeure
Rosewood Tradesmen Ltd shall not be liable for failure or delay in performing its obligations where such failure results from events beyond its reasonable control, including but not limited to natural disasters, power outages, cyber incidents, labour disputes, or government actions.
13. Changes to Terms
We may amend these Terms from time to time to reflect operational, regulatory or legal changes.
Updated Terms will be published on our website and continued use of our services will constitute acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
