Contract for Construction Services


The Parties

This Contract for Services is made on between Rosewood Tradesmen Ltd, 16 Pepper Street, Glengall Bridge, London E14 9RP (“the Contractor”)
And
Name: ("the Subcontractor").

1. Background

1.1 The Contractor provides labour and recruitment services to clients in the construction industry.
1.2 The Subcontractor provides skilled trade services and wishes to make these available to the Contractor from time to time.
1.3 This agreement governs the terms under which the Subcontractor may provide services to or on behalf of the Contractor.


2. Engagement and Independence

2.1 The Contractor is under no obligation to offer work to the Subcontractor, and the Subcontractor is under no obligation to accept work offered.
2.2 The Subcontractor is engaged as an independent contractor and not as an employee, worker, or agent of the Contractor.
2.3 The Subcontractor may provide services to any other party at any time.
2.4 The Subcontractor controls how services are performed, subject only to compliance with legal and regulatory requirements, including health & safety obligations (see clause 6).
2.5 The Subcontractor may send a suitably qualified substitute to perform the services, provided the substitute has the necessary skills, right-to-work, and certifications. The Contractor shall not unreasonably withhold acceptance of a substitute.


3. Assignments

3.1 From time to time, the parties may agree specific assignments. Each assignment will be confirmed in writing (e.g., assignment schedule or work order) setting out:

  • Location of work

  • Agreed rate of pay

  • Expected duration (if applicable)

  • Any client-specific requirements

3.2 Each assignment is separate and does not alter the self-employed status of the Subcontractor under this agreement.


4. Subcontractor’s Responsibilities

4.1 Provide own tools, equipment, and Personal Protective Equipment (PPE).
4.2 Maintain valid right-to-work documentation and provide proof when requested.
4.3 Hold and maintain appropriate insurance (e.g., public liability insurance) and provide evidence to the Contractor on request.
4.4 Perform services to a standard reasonably expected of a competent tradesperson.
4.5 Comply with all site rules, inductions, and client health & safety policies.
4.6 Remedy or reimburse any defective or substandard work, subject to fair assessment.


5. Payment

5.1 Payment rates will be agreed in writing for each assignment.
5.2 Payments will be made under the Construction Industry Scheme (CIS), with deductions applied as notified by HMRC.
5.3 The Subcontractor must provide details necessary to verify CIS status with HMRC.
5.4 Deductions under CIS relate solely to income tax. The Subcontractor remains responsible for their own National Insurance contributions, self-assessment, and any other taxes.
5.5 A monthly CIS statement will be provided.
5.6 No payment will be made for cancelled or unworked periods.
5.7 The Subcontractor is responsible for travel, subsistence, and expenses unless otherwise agreed in writing.
5.8 The Subcontractor is not entitled to holiday pay, sick pay, or other employment benefits.


6. Health & Safety and Compliance

6.1 The Subcontractor must comply with all applicable statutory health & safety requirements, including the Health and Safety at Work etc. Act 1974 and Construction (Design and Management) Regulations 2015.
6.2 The Subcontractor agrees to comply with all client site rules and policies during assignments.
6.3 For regulatory purposes, the Subcontractor may be identified as working on behalf of the Contractor, but this does not create an employment relationship.


7. Liability and Insurance

7.1 The Subcontractor shall be liable for any direct loss or damage caused by negligence, defective work, or breach of contract, up to the value of the assignment, unless covered by insurance.
7.2 The Contractor may, at its discretion, include the Subcontractor under its insurance policy and recharge costs to the Subcontractor.


8. Termination

8.1 Either party may terminate this agreement or any assignment at any time, without notice or financial penalty.
8.2 Termination does not affect rights or liabilities already accrued.


9. Data Protection

9.1 The Contractor will process personal data in accordance with the UK GDPR and its Privacy Policy (available at www.rosewoodtradesmen.com).
9.2 Personal data may be shared with clients, HMRC, and other parties as required by law or to perform this agreement.


10. Entire Agreement

10.1 This contract constitutes the entire agreement between the parties regarding services provided and supersedes any prior agreements.
10.2 Amendments must be made in writing and signed by both parties.
10.3 Failure to enforce a clause does not waive the right to enforce it later.


11. Governing Law and Jurisdiction

This contract is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.


12. CIS Self-Employment Declaration

The Subcontractor confirms that:

  • They are engaged on a self-employed basis.

  • They are free to accept or decline work.

  • They may work for others during or after this engagement.

  • They are responsible for their own taxes, NICs, and insurance.

  • They may provide a substitute at their own expense.

  • They are not entitled to statutory employment benefits.

  • They will notify Rosewood Tradesmen Ltd if their status changes.
