Contract for Construction Services (OC)


1. The Parties

This Contract for Services is made on between Rosewood Tradesmen Ltd, 16 Pepper Street, Glengall Bridge, London E14 9RP (“the Contractor”)
And

2. Services Background

 

2.1 The Contractor’s business is the provision of Construction Services to its Clients.
2.2 The Subcontractor provides skilled construction trade services (the "Services") which may be of use to the Contractor from time to time.
2.3 Both parties agree that if the Contractor engages the Subcontractor to provide Services, the following terms and conditions will apply.
 

3. Provision of Services

 

3.1 The Contractor is not obliged to, and provides no guarantee of, offering the Subcontractor any work.
3.2 The Subcontractor is not obliged to provide Services to the Contractor and may decline to do so at any time.
3.3 Both parties agree and intend that, if the Subcontractor provides Services to or on behalf of the Contractor, he does so as an independent contractor under a contract for services, not as an employee or under any other type of contract. This reflects the principles of UK employment law distinguishing self-employment from employment status.
3.4 The Subcontractor may provide services to other parties at any time.
3.6 As an independent contractor, the Subcontractor has autonomy over how the Services are performed and is not subject to the Contractor’s control regarding the method of performance, subject to clause 6.2.
3.7 The Subcontractor is not subject to supervision, direction, or control by the Contractor as to the manner in which the Services are provided, except where required by law or regulation (e.g., Health and Safety).
3.8 The Subcontractor may, at his discretion, send a suitably qualified and experienced substitute to perform the Services in his place.
3.9 If the Subcontractor sends a substitute, any contractual arrangements, including payment, are solely between the Subcontractor and the substitute. The Contractor has no contractual relationship with, or responsibility for, any substitute.
3.10 The Subcontractor is responsible for providing his own equipment and Personal Protective Equipment (PPE), in compliance with the Personal Protective Equipment at Work Regulations 1992 (as amended).
3.11 The Subcontractor must maintain appropriate insurances (e.g., public liability insurance) and provide copies of relevant insurance documents to the Contractor upon request. The Contractor may, at its discretion, include the Subcontractor under its own insurance policy and charge the Subcontractor accordingly.
3.12 The Subcontractor agrees to perform the Services to a standard reasonably expected of a competent tradesman. If the Contractor or its Clients reasonably determine that the Services (or those of a substitute) are defective or substandard, the Contractor may require the Subcontractor to remedy the work or reimburse any costs or losses incurred, subject to fair assessment.
 

4. Payment for Services

 

4.1 The Subcontractor will be paid at a rate agreed between the parties from time to time.
4.2 If the Subcontractor is VAT-registered, he must provide a valid VAT registration certificate before payments are processed, in accordance with the Value Added Tax Act 1994.
4.4 Payments are subject to the Construction Industry Scheme (CIS) under the Finance Act 2004. Deductions will be made as notified by HMRC following verification of the Subcontractor’s tax status.
4.5 The Subcontractor must provide all necessary information to enable the Contractor to verify his CIS payment status with HMRC.
4.6 Deductions under the CIS relate solely to Income Tax and do not affect the Subcontractor’s obligation to account for National Insurance Contributions (NICs) or complete his own Self-Assessment tax return.
4.7 The Contractor will provide the Subcontractor with a monthly payment statement detailing payments and CIS deductions, as required by HMRC.
4.8 The Contractor is not obliged to pay the Subcontractor for periods when no Services are provided or for cancelled works, regardless of the reason.
4.9 The Contractor may deduct any costs or charges owed by the Subcontractor under this contract from any payments due.
4.10 The Subcontractor is responsible for his own travel and expenses, with no entitlement to reimbursement from the Contractor unless otherwise agreed in writing.
4.11 As a self-employed Subcontractor, he is not entitled to statutory employment benefits such as holiday pay, sick pay, or maternity/paternity pay, consistent with UK employment law.
 

5. Termination of Services

5.1 Either party may terminate this Contract for Services at any time without notice or financial penalty, reflecting the mutual non-obligation principle.
 

6. Other Applicable Provisions

 

6.1 The Subcontractor will not represent himself as an employee or agent of the Contractor. However, for Health & Safety, security, or regulatory purposes (e.g., under the Health and Safety at Work etc. Act 1974), the Subcontractor may need to be identified as working under the Contractor’s engagement.
6.2 While the Subcontractor controls his working methods, he must comply with applicable statutory Health and Safety requirements (e.g., the Construction (Design and Management) Regulations 2015) when providing the Services.
 

7. Whole Agreement

 

7.1 Unless expressly stated otherwise, this Contract for Services constitutes the entire agreement between the parties regarding the Services, superseding any prior written or verbal agreements.
7.2 Amendments to this contract must be agreed in writing by both parties.
7.3 The Contractor’s failure to enforce any term does not waive its right to address that breach or any future breaches.
7.4 A breach of one term does not affect the validity of other terms.
7.5 By signing, the Subcontractor confirms he has read, understood, and had the opportunity to seek independent legal advice on this contract.
 

8. Jurisdiction

 

8.1 This Contract for Services is governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

CIS Self-Employment Status Declaration

 
The following statement confirms that the Subcontractor’s engagement with Rosewood Tradesmen Ltd meets HMRC’s criteria for self-employed status under UK tax and employment law:
  • The Contractor has no control over the manner in which the Subcontractor performs his work.
  • The Contractor cannot dictate whether the Subcontractor undertakes other work during or after this engagement.
  • The Contractor is not obliged to provide the Subcontractor with work.
  • The Subcontractor does not perform tasks beyond those specified in the assignment or contract.
  • The Subcontractor is not obliged to accept work.
  • The Subcontractor is not entitled to holiday pay, sick pay, maternity/paternity pay, or other employment benefits.
  • The Subcontractor may send a substitute or hire assistants, at his own expense.
  • The Contractor is not obliged to provide a minimum number of paid hours.
  • The Subcontractor is responsible for his own insurances.
By agreeing to these statements, I confirm that I am legitimately self-employed and that all parties comply with HMRC requirements. I will notify Rosewood Tradesmen Ltd immediately if I have concerns about my employment status or these statements.
